Article 1 — Application
These Terms of Service govern the conditions for using "Fuji Up" (the "Service") provided by UP2 Inc. (the "Company").
Users shall use the Service only after agreeing to these Terms.
If an individual quotation, order details, or other conditions presented by the Company differ from these Terms, the individually presented conditions shall prevail.
Article 2 — Service Content
The Service is a B2B OEM and wholesale sourcing support service for businesses that supports the selection of manufacturing partners, coordination of specifications, quotations, orders, payments, production progress, and delivery management.
The Company accepts inquiries and orders from users and may commission partner manufacturers to perform manufacturing, processing, procurement, inspection, delivery, and other necessary work according to each order.
Products, prices, and delivery times shown on the Service are for reference. Final terms are determined in the quotation or order confirmation screen presented by the Company.
Article 3 — Quotations and Orders
Users shall accurately provide specifications, quantity, materials, colors, processing details, delivery dates, delivery destinations, and all other required information.
A contract concerning an order is formed between the Company and the user when the user agrees to the quotation, places the order and makes payment, and the Company notifies the user that the order has been confirmed.
Changes to specifications after an order is confirmed may not be possible depending on the production status.
Article 4 — Payment
Users shall pay the amount shown in the quotation or order confirmation screen by a method designated by the Company.
Credit card payments are processed by a payment service provider designated by the Company.
If payment is not completed by the payment deadline, the Company may cancel the order.
Article 5 — Consultation with Manufacturing Partners
Users and manufacturing partners may use messages within Fuji Up to discuss specifications, quantity, price, delivery times, and other manufacturing conditions.
Prices, delivery times, and other conditions presented by a manufacturing partner in messages are information for review and coordination.
The final quotation, order amount, and order terms are confirmed in the quotation or order confirmation screen presented by the Company.
Article 6 — Prohibition of External Contact and Transactions
As a general rule, users and manufacturing partners shall communicate about the Service within Fuji Up.
Without the Company's prior approval, users and manufacturing partners must not exchange telephone numbers, email addresses, social media accounts, or other external contact information or conduct quotations, orders, or payments outside Fuji Up.
This restriction does not apply when such communication is necessary for manufacturing, inspection, or delivery and has been approved by the Company.
Article 7 — Manufacturing and Delivery
The Company commissions manufacturing partners to perform manufacturing and related work according to each order and manages progress from production through delivery.
Delivery times are provided in the individual quotation or order confirmation screen.
Delivery times may change due to material procurement, specification changes, transportation, customs clearance, weather, or other circumstances.
Article 8 — Inspection
Users must check quantity, specifications, appearance, damage, and other relevant details within seven days after the product arrives.
If there is a clear discrepancy from the order, a material defect, a shortage, or damage during delivery, the user must contact the Company and provide photographs or other supporting materials.
Article 9 — Consultation Regarding Returns, Refunds, and Other Remedies
When a return, refund, repair, remanufacture, replacement, additional delivery, price reduction, or other remedy may be required, the user and manufacturing partner may discuss the response through messages within Fuji Up.
If both parties agree on a response, the Company will confirm that it is consistent with the order details, these Terms, and other applicable conditions before carrying out the necessary procedures.
If the parties do not reach an agreement, the Company will review the order details, confirmed specifications, message history, photographs, inspection records, delivery records, and explanations submitted by both parties, and determine the response to be provided through the Service.
Based on the results of its review, the Company will determine whether to provide a repair, remanufacture, replacement, additional delivery, price reduction, full or partial refund, or no remedy.
Users and manufacturing partners shall cooperate in providing the information and materials required for the Company's review.
The Company's determination decides the response to be provided through the Service and does not finally determine the legal liability of the parties.
Article 10 — Cancellations and Refunds
As a general rule, an order may be canceled before it is confirmed.
After an order is confirmed, cancellation may not be possible depending on the status of material procurement, manufacturing, processing, inspection, delivery, or other work.
Even when cancellation is approved, a refund may be made after deducting material costs, manufacturing costs, processing costs, payment processing fees, delivery fees, and other costs already incurred.

Article 11 — Payments to Manufacturing Partners
The Company pays manufacturing fees, purchase prices, processing fees, service fees, and other amounts in accordance with its agreement or individual arrangement with each manufacturing partner.
Payment amounts and timing are governed by the agreement or individual arrangement between the Company and the manufacturing partner.
Article 12 — Intellectual Property Rights
Users warrant that they hold all necessary rights to any designs, logos, images, or other data submitted for manufacturing.
The Company may refuse manufacturing or an order if it may infringe the rights of a third party.
Article 13 — Prohibited Conduct
Users must not violate laws or regulations, register false information, infringe intellectual property rights, make fraudulent payments, solicit transactions outside the Service, gain unauthorized access, or otherwise interfere with operation of the Service.
Article 14 — The Company's Response
The Company works with manufacturing partners and, to a reasonable extent, manages and coordinates manufacturing and delivery in accordance with order details.
If a clear discrepancy from the order or a material defect is confirmed, the Company will respond as appropriate through repair, remanufacture, replacement, additional delivery, price reduction, refund, or another remedy.
Minor differences in color, dimensions, or individual products that ordinarily arise during manufacturing may not constitute defects.
Article 15 — Suspension of Use
If a user violates these Terms, the Company may suspend an order, restrict use of the Service, suspend the user's account, or take other measures.
Article 16 — Personal Information
The Company handles users' personal information in accordance with its separately established Privacy Policy.
Article 17 — Changes to These Terms
The Company may amend these Terms in response to changes in laws, regulations, or the content of the Service.
Article 18 — Governing Law and Jurisdiction
These Terms are governed by the laws of Japan.
The court with jurisdiction over the location of the Company's head office shall have agreed jurisdiction in the first instance over any dispute concerning the Service.

This English translation is provided for convenience. If there is any conflict between the English and Japanese versions, the Japanese version prevails.
